Terms of Service and End-User License Agreement

Effective: August 25, 2026

1. Agreement

These Terms govern access to and use of gulfpointmedical.com, the GulfPoint customer portal, administrative tools, ordering features, and related services provided by GulfPoint Medical LLC.

2. Business Use

GulfPoint’s services are intended for business customers and authorized representatives. You are responsible for ensuring information you submit is accurate and that anyone using your organization’s account is authorized.

3. Account Access

You are responsible for maintaining the confidentiality of account credentials and for activities conducted through your account.

4. Order Requests

Submitting an order constitutes a request to purchase and does not guarantee availability or fulfillment. GulfPoint may fulfill all, part, or none of a requested quantity depending on availability and operational considerations.

5. Pricing and Invoicing

Pricing may be finalized after an order request is reviewed. Customers are responsible for payment of the fulfilled quantity shown on the final invoice unless otherwise agreed in writing.

6. Shipping

Orders may be released for shipment after applicable payment or account requirements are satisfied. Shipping carrier and tracking information may be provided through the portal or by email.

7. QuickBooks and Intuit Connectivity

GulfPoint may connect its internal administrative system to QuickBooks Online using Intuit-authorized OAuth access. This integration may be used to create or synchronize customer and invoice information. GulfPoint administrators may disconnect the integration through GulfPoint’s administrative interface or Intuit account controls.

8. Limited License

Authorized users receive a limited, non-exclusive, non-transferable, revocable right to access and use the website and portal solely for legitimate business purposes.

9. Acceptable Use

You may not use the services for unlawful activity, fraud, unauthorized access, malicious code, abusive conduct, misrepresentation, or any purpose that could disrupt GulfPoint systems.

10. Third-Party Services

Some GulfPoint functions depend on third-party providers, including hosting, authentication, email delivery, accounting, invoicing, payment, and shipping services.

11. Availability

We may modify, suspend, replace, or discontinue portions of the services as reasonably necessary for maintenance, security, operations, or business changes.

12. Disclaimer

To the extent permitted by law, the services are provided on an “as available” basis without warranties that the website or integrations will always be uninterrupted or error-free.

13. Limitation of Liability

To the extent permitted by applicable law, GulfPoint will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the website, portal, third-party integrations, or related services.

14. Termination

GulfPoint may suspend or terminate access when necessary to protect customers, systems, third parties, or GulfPoint, or when an account materially violates these Terms.

15. Governing Law

These Terms are governed by applicable law in the State of Florida.
